Terms of Service
Last updated September 21, 2026
These Terms of Service (the “Terms”) are a binding agreement between you and JustLedger (“JustLedger,” “we,” “us,” or “our”) governing access to and use of the DueNotice website, application, and related services (collectively, the “Service”). By creating an account, accessing the Service, or clicking to accept these Terms, you agree to them. If you do not agree, do not use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business.
1. The Service
DueNotice is invoicing software. You may create invoices, send them by email or shareable link, keep reminder drafts, record payments, void invoices, and download PDF copies. Optional payment methods include Stripe Checkout on a Stripe account you connect, and links to third-party wallets such as PayPal, Venmo, and Cash App.
The Service is not:
- an accountant, bookkeeper, bank, payment facilitator, or money transmitter;
- a tax preparer, payroll provider, or law firm;
- a postal or SMS carrier, and we do not mail invoices or text your customers;
- a party to the underlying work you bill, or a guarantor that an invoice will be paid.
You are the merchant of record for amounts you invoice. The person named on an invoice is your customer, not ours. Reminder text is a draft until you send it. Any message you send from your own phone or email is sent by you.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. The Service is intended for business use, not for consumers acting in a personal capacity and not for children.
Access is by a one-time link sent to your email. You are responsible for the security of that inbox and for all activity under your account. Do not share sign-in links. Each account is limited to one user and one business profile unless we agree otherwise in writing.
You are responsible for the accuracy of names, amounts, tax, notes, and payment instructions you enter, and for having a lawful basis to contact the people you bill. Public invoice URLs are accessible to anyone who has the link. Do not publish a link more widely than you would distribute the invoice itself.
3. Fees and subscription
You may create up to five invoices at no charge. Additional invoices require an active paid subscription of nine U.S. dollars ($9.00) per month, billed in advance through Stripe. We may change prices prospectively by updating these Terms and notifying you as described in Section 12. Taxes may be added if required by law.
If you exceed the free allowance and do not have a current subscription, creation of new invoices is paused. Existing invoices remain in the account. You may cancel at any time from your profile. Cancellation takes effect at the end of the then-current billing period unless Stripe or applicable law requires otherwise. Fees already paid are non-refundable except where a refund is required by law.
Failed subscription charges may be retried by Stripe. We may suspend paid features for non-payment.
4. Payments on your invoices
If you connect a Stripe account, card payments on a public invoice are charged to that connected account. JustLedger does not receive, hold, or settle those funds. Stripe’s terms apply to you and to the payer. We are not the merchant of record for those charges.
PayPal, Venmo, and Cash App controls open those providers. We do not process those payments and do not mark an invoice paid when someone uses them unless you record the payment yourself.
Manual “mark paid” entries are your records. We do not verify that money actually moved. Disputes between you and your customer are yours to resolve.
5. Acceptable use
You will not, and will not permit others to:
- use the Service for fraud, money laundering, scams, or other unlawful purposes;
- send spam or invoices to people you have no good-faith basis to bill;
- attempt to access another user’s account, scrape non-public invoices, or interfere with the Service;
- reverse engineer, resell, or misuse the Service except as allowed by law;
- upload malware or content that infringes others’ rights.
We may suspend or terminate an account that we reasonably believe violates these Terms or creates risk of harm, fraud, or legal exposure, with or without notice where we believe delay would increase that risk.
6. Your content and license
You retain ownership of invoices, customer records, and other material you submit (“User Content”). You grant JustLedger a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content solely to operate, secure, and improve the Service and to comply with law.
You represent that you have the rights needed to submit User Content and to send related emails. Suggested reminder copy and similar assistance are for your review. You remain responsible for what you send.
7. Intellectual property
The Service, including software, design, and the DueNotice name, is owned by JustLedger or its licensors. These Terms do not grant you any trademark or other rights except a limited, revocable, non-transferable right to use the Service as permitted here. You may not use “DueNotice” or “JustLedger” in a way that suggests endorsement without our prior written consent.
8. Third-party services
The Service depends on third parties, including hosting, database, email, and payment providers. Their terms and privacy practices govern your use of their products. We are not responsible for outages, errors, or acts of those providers, except to the extent we cannot disclaim that responsibility under applicable law.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTLEDGER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted or error-free, or that totals, tax, dates, reminder wording, or paid/unpaid status will be accurate. You should review each invoice before sending it and keep your own copies. Electronic records in the Service are not a substitute for records you are required to keep for tax or other legal purposes.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTLEDGER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO JUSTLEDGER FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS ($50).
Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the fullest extent permitted. Nothing in these Terms limits liability that cannot be limited under Florida law, including liability for fraud or willful misconduct where such a limitation is prohibited.
11. Indemnification
You will defend, indemnify, and hold harmless JustLedger and its personnel from and against claims, damages, losses, and reasonable attorneys’ fees arising out of (a) your User Content or invoices; (b) your communications with customers; (c) payment disputes with your customers or with Stripe or other payment providers; (d) your violation of these Terms or of law; or (e) your misuse of the Service.
12. Term, termination, and account closure
These Terms remain in effect while you use the Service. You may close your account from your profile. Closure deletes JustLedger’s copy of the business profile, invoices, customers, and sign-in credentials associated with that account, subject to backups for a short period and to records we must retain by law. Stripe and other processors may retain information under their own policies. If a subscription is active, we will request that Stripe cancel it.
We may terminate or suspend the Service or your account at any time if you breach these Terms, if we discontinue the Service, or as required by law. Sections that by their nature should survive (including 6, 7, 9–11, 13, and 14) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. Exclusive venue for disputes lies in the state courts of Florida or the United States District Court sitting in Florida, and you consent to personal jurisdiction there, except where applicable law requires otherwise (including any non-waivable rights you may have as a consumer, if a court determines you are one).
Before filing a claim, you agree to try to resolve it by emailing serris@zoho.com from the address on your account and allowing thirty (30) days for a response. You and JustLedger waive any right to participate in a class or representative action to the extent that waiver is enforceable.
14. General
These Terms, together with the Privacy Policy, are the entire agreement between you and JustLedger concerning the Service. They supersede prior discussions relating to the Service. If a provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to your account email or posted in the Service. Electronic communications, including magic-link sign-in, satisfy any legal writing requirement to the extent permitted by the E-SIGN Act and similar laws.
We may modify these Terms. We will update the “Last updated” date and, for material changes, provide notice by email or in the Service when reasonably practicable. Continued use after the effective date constitutes acceptance. If you do not agree, close the account and stop using the Service.
15. Contact
